Terms of Service

These Terms of Service ("Terms") govern your access to and use of all products and services provided by Twomiah Software Ventures ("Twomiah," "we," "us," or "our"), operated by Jeremiah Phillips, located in Eau Claire, Wisconsin. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Description of Service

Twomiah provides software-as-a-service (SaaS) products and self-hosted software solutions for small businesses and individuals. Our products include but are not limited to: Twomiah Build (general contractor CRM), Twomiah Roof (roofing CRM), Twomiah Wrench (HVAC, plumbing, and electrical field service CRM), Twomiah Care (home care agency CRM), Twomiah Leaf (cannabis dispensary platform), Twomiah Factory (white-label CRM deployment engine), Twomiah Vision (AI home exterior visualization), Twomiah IckApp (consumer food scanner), Twomiah Card Shop (sports card marketplace), Twomiah Ads (managed advertising service), BreakReturns, BreakerDisplays, and any additional products or services we may offer from time to time.

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice where practicable for material changes.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Comply with all applicable federal, state, and local laws

3. Account Registration

To use certain services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Providing accurate and complete registration information
• Notifying us immediately of any unauthorized use of your account

4. Subscriptions, Billing & Auto-Renewal

4.1 Free Trials

We may offer a free trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be billed accordingly.

4.2 Auto-Renewal

By subscribing, you authorize recurring billing. Your subscription renews automatically at the end of each billing cycle (monthly or annually) unless cancelled.

4.3 Cancellation

You may cancel your subscription at any time via your account settings or by contacting support at support@twomiah.com. Cancellation takes effect at the end of your current billing period. You will retain access until the end of the paid period.

4.4 Pricing Changes

We may change our prices with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.5 Refunds

Except where required by applicable law, all fees are non-refundable. We do not provide prorated refunds for partial billing periods.

All payments are processed securely through Stripe. Twomiah does not store your credit card information directly on our servers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Infringe on the intellectual property rights of others
• Upload, transmit, or distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the integrity, performance, or availability of the Service
• Send spam, bulk unsolicited messages, or engage in abusive practices
• Use the platform to host or distribute illegal content
• Resell or redistribute our services without written authorization

We may investigate violations and cooperate with law enforcement where appropriate.

6. Your Content & Data

6.1 Ownership

You retain ownership of all data and content you upload to our services ("User Content"). We do not claim ownership of your User Content.

6.2 License

You grant us a limited, non-exclusive, royalty-free license to host, process, store, and display your User Content solely for the purpose of providing and operating the Service.

6.3 Data Export

You may request an export of your data at any time by contacting us. Upon account termination, we will retain your data for 30 days before permanent deletion, unless otherwise required by law.

6.4 Backups

While we take reasonable measures to protect your data, you are responsible for maintaining your own backups. We are not liable for any data loss except where caused by our gross negligence or willful misconduct.

7. Generated Software & Hosted Websites

For services that generate and deploy software on your behalf (e.g., Twomiah Build, Twomiah Care):

• You own the content you add to your generated website and CRM
• The underlying software, templates, and source code remain the intellectual property of Twomiah
• Self-hosted deployments grant you a license to run the software; they do not transfer ownership of the source code
• We reserve the right to suspend hosted services for non-payment or violation of these Terms

8. Intellectual Property

All Twomiah software, designs, logos, trademarks, templates, and content are the property of Twomiah and are protected by applicable intellectual property laws. You may not copy, reverse engineer, decompile, or resell any part of the Service without our prior written permission.

9. Copyright (DMCA)

If you believe content on our platform infringes your copyright, submit a notice to support@twomiah.com including:

• A description of the copyrighted work
• The location of the allegedly infringing content
• Your contact information
• A good-faith statement that the use is not authorized

We will respond in accordance with the Digital Millennium Copyright Act and applicable law.

10. Third-Party Services

Our services integrate with third-party providers including Stripe, Render, Supabase, SendGrid, Twilio, Google Maps, Meta, Google Ads, OpenAI, Anthropic, and others. Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the content, policies, availability, or failures of third-party services.

11. Service Availability

We strive for reliable uptime but do not guarantee uninterrupted or error-free service. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any downtime, interruptions, or service disruptions, whether planned or unplanned.

12. Disclaimer of Warranties

13. Limitation of Liability

To the fullest extent permitted by law, Twomiah and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our total aggregate liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

This limitation does not apply to liability arising from gross negligence, willful misconduct, or non-waivable legal rights.

14. Indemnification

You agree to indemnify, defend, and hold harmless Twomiah, its owner, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms
• It is necessary to protect the security or integrity of the Service
• Required by law

We may also terminate for convenience with reasonable notice. We will not act arbitrarily or in bad faith.

Upon termination:

• Your right to use the Service ceases immediately
• We will retain your data for 30 days before permanent deletion
• Any outstanding payment obligations survive termination

16. Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law rules. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Eau Claire County, Wisconsin.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through a prominent notice in the Service at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. SMS/Text Messaging Program

Businesses that use the Service ("Senders") may send text (SMS/MMS) messages to their own customers and contacts through the platform's messaging provider (Twilio). By providing a mobile number and opting in on a Sender's website form, booking page, or customer portal — for example by checking a consent box or replying START — an end user consents to receive messages from that Sender through the Service.

Message types may include appointment reminders and confirmations, job or service status updates, review requests, two-way customer support replies, and occasional promotions from the Sender. Message frequency varies by Sender and by the end user's activity.

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

To opt out at any time, reply STOP to any message; you will receive one confirmation and no further messages from that Sender. For help, reply HELP or contact support@twomiah.com.

Consent to receive text messages is never a condition of any purchase. Senders are responsible for obtaining valid opt-in consent from their contacts and for the content of their messages. Mobile opt-in consent and phone numbers collected for messaging are not sold, shared with third parties, or used for third-party marketing.
